Terms of Service

These Terms of Service (the "Terms") govern access to and use of Schematify websites, hosted services, software, APIs, command-line tools, documentation, and related services (together, the "Services") provided by Schematify Limited ("Schematify", "we", "us", or "our").

These Terms are a general template and may be superseded or supplemented by a separate written agreement, order form, enterprise agreement, evaluation agreement, end-user licence agreement, or statement of work between Schematify and a customer.

1. Acceptance of these Terms

By accessing or using the Services, you agree to these Terms. If you use the Services on behalf of an organisation, you represent that you have authority to bind that organisation, and "you" includes that organisation.

If you do not agree to these Terms, you must not use the Services.

2. Accounts and Access

You may need an account to use certain Services. You are responsible for maintaining the confidentiality of account credentials and for all activity under your account.

You must provide accurate account information and keep it up to date. You must not share credentials, impersonate another person, or attempt to access accounts, data, systems, or services without authorisation.

3. Use of the Services

You may use the Services only in accordance with these Terms, applicable laws, documentation, and any usage limits or plan restrictions that apply to your account.

You must not:

  • use the Services for unlawful, harmful, fraudulent, or abusive purposes;
  • interfere with, disrupt, overload, or attempt to gain unauthorised access to the Services or related systems;
  • reverse engineer, decompile, or attempt to derive source code except to the extent permitted by law or a separate licence;
  • remove proprietary notices or misrepresent ownership of the Services;
  • upload malware, exploit code, or intentionally harmful content;
  • use the Services to infringe intellectual property, privacy, or other rights;
  • benchmark, scrape, crawl, or monitor the Services in a way that is excessive or not authorised; or
  • resell, sublicense, or provide access to the Services except as expressly permitted by Schematify.

4. Customer Data

"Customer Data" means data, schemas, diagrams, graph definitions, configuration, source material, prompts, files, and other content that you submit to or process through the Services.

You retain ownership of Customer Data. You grant Schematify a limited right to host, process, transmit, display, and use Customer Data as necessary to provide, secure, support, and improve the Services, and as otherwise described in our Privacy Policy or a separate written agreement.

You are responsible for ensuring that you have the rights and permissions necessary to submit Customer Data to the Services.

5. Confidentiality

If you receive non-public information from Schematify, you must use reasonable care to protect it and use it only for the purpose for which it was disclosed. These obligations do not apply to information that is public, already known without restriction, independently developed, or lawfully received from a third party.

6. Intellectual Property

Schematify and its licensors own all rights, title, and interest in and to the Services, including software, designs, documentation, trademarks, and other intellectual property.

Except for the limited rights expressly granted in these Terms or a separate written agreement, no rights are transferred to you.

Feedback may be used by Schematify without restriction or obligation, unless otherwise agreed in writing.

7. Third-Party Services

The Services may integrate with or depend on third-party services, identity providers, hosting providers, payment providers, repositories, tools, or data sources. Your use of third-party services may be governed by separate terms and privacy policies. Schematify is not responsible for third-party services outside our control.

8. Fees and Payment

If fees apply, you agree to pay them in accordance with the applicable order form, plan, invoice, or payment terms. Fees are exclusive of taxes unless stated otherwise. You are responsible for applicable taxes, duties, and charges.

We may suspend or terminate access for unpaid fees, subject to any separate written agreement.

9. Trials, Beta, and Pre-Release Services

We may offer trial, beta, preview, or pre-release Services. These are provided for evaluation and may be changed, limited, suspended, or discontinued at any time. They may be less reliable than generally available services and may be provided without warranties or support commitments.

10. Availability, Support, and Changes

We aim to provide reliable Services, but we do not guarantee uninterrupted or error-free operation unless a separate service level agreement applies.

We may modify the Services from time to time, including to improve functionality, security, performance, or maintainability. We may discontinue features where reasonably necessary.

11. Security

We use reasonable technical and organisational measures designed to protect the Services. You are responsible for configuring your use of the Services securely, managing user access, protecting credentials and tokens, and ensuring that Customer Data is appropriate for processing in the Services.

You must promptly notify us of any suspected unauthorised access or security issue involving your account or the Services.

12. Privacy and Data Protection

Our handling of personal data is described in our Privacy Policy. Where we process personal data on behalf of a customer, additional data processing terms may apply.

13. Suspension and Termination

We may suspend or terminate access to the Services if:

  • you breach these Terms;
  • your use creates security, legal, operational, or reputational risk;
  • required by law or a third-party provider;
  • fees are unpaid; or
  • the Services are discontinued.

You may stop using the Services at any time. Termination does not affect accrued rights, payment obligations, confidentiality obligations, ownership provisions, disclaimers, limitations of liability, or other provisions intended to survive.

14. Disclaimers

To the maximum extent permitted by law, the Services are provided "as is" and "as available" without warranties of any kind, whether express, implied, statutory, or otherwise. Schematify disclaims warranties of merchantability, fitness for a particular purpose, non-infringement, uninterrupted operation, and error-free performance.

Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law.

15. Limitation of Liability

To the maximum extent permitted by law, Schematify will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, revenue, goodwill, data, or business interruption.

To the maximum extent permitted by law, Schematify's total aggregate liability arising out of or relating to the Services or these Terms will not exceed the amounts paid by you to Schematify for the Services giving rise to the claim in the twelve months before the event giving rise to liability, or £100 if no fees were paid.

16. Indemnity

You agree to indemnify and hold Schematify harmless from claims, damages, liabilities, costs, and expenses arising from your Customer Data, your use of the Services, your breach of these Terms, or your violation of law or third-party rights.

17. Export and Sanctions

You must comply with applicable export control, sanctions, and trade laws. You must not use the Services where prohibited by law or for prohibited end uses.

18. Governing Law and Jurisdiction

Unless a separate written agreement states otherwise, these Terms are governed by the laws of England and Wales. The courts of England and Wales will have exclusive jurisdiction, except that Schematify may seek injunctive or equitable relief in any appropriate jurisdiction.

19. Changes to these Terms

We may update these Terms from time to time. We will indicate the latest update date above. Material changes may be notified through the Services or by other reasonable means. Continued use of the Services after changes become effective means you accept the updated Terms.
